Subscription Agreement
- Service runs month to month, with no long-term contract. Cancel any time by emailing us.
- Work is invoiced at the end of each month for the services provided that month.
- You give us accurate records on time. We do the work with reasonable care and keep your information confidential.
- We do not provide tax filing, legal or investment advice, or audited statements unless agreed in writing.
- Your financial records always belong to you.
This Subscription Agreement ("Agreement") is entered into by and between Profit Path Solution LLC, a Delaware limited liability company with its registered address at 8 The Green, STE 4000, Dover, DE 19901 ("Profit Path Solution," "we," "us," or "our"), and the client identified during the checkout process (the "Client," "you," or "your"). This Agreement governs your subscription to and use of our bookkeeping and accounting services (the "Services").
By making your first purchase of a plan or additional service through our provided checkout link, completing our required onboarding materials, or otherwise engaging our Services, you agree to be bound by this Agreement.
01Description of Services
Profit Path Solution provides bookkeeping and accounting services to businesses across the United States and Canada, which may include transaction categorization and reconciliation, monthly financial statement preparation, and related services as described in your specific plan or engagement (the "Services"). The specific scope of services included in your plan will be provided in your onboarding materials or Statement of Work.
The Services do not include tax preparation, tax filing, legal advice, investment advice, or audited or certified financial statements, unless separately and expressly agreed to in writing.
02Scope Changes & Additional Services
Work outside your plan, such as cleanup or catch-up of past periods, accounting system setup or migration, sales tax filing, 1099 filing, or extra accounts and employees, is quoted separately. We will confirm the scope and price in writing, and you approve it before the work begins. Additional services are priced as shown on our Pricing page unless we agree otherwise.
03Subscription Plans, Fees & Billing
- Plan(s): The details of your specific plan and included services are shown at checkout and in your onboarding materials.
- First Purchase: To start working with us, a new Client first buys a plan or an additional service through our provided checkout link. This first payment confirms your plan or service and begins your onboarding. There is no separate onboarding fee.
- Ongoing Monthly Invoicing: After your first purchase, ongoing Services for regular Clients are invoiced monthly. We will issue an invoice at the end of each month for the Services provided during that period.
- Payment Method: The first purchase is paid through our secure checkout link. Monthly invoices are payable upon receipt by Wise or ACH bank transfer, using the payment details specified on the invoice.
- Price Changes: We may change our fees with at least 30 days' advance notice before the change takes effect on your next billing cycle. Continued use of the Services after a price change takes effect constitutes acceptance of the new fee.
04Ongoing Service & Cancellation
Your engagement with us operates on a continuous month-to-month basis. Because we invoice you at the end of each month for Services rendered, your "subscription" simply refers to our ongoing monthly commitment to manage your bookkeeping.
To cancel our Services, you must notify us by email at contact@profitpathsolution.com. Cancellation takes effect on the date we receive your email, or a later date you request. If you cancel mid-month, we will issue one final, prorated invoice at the end of that month for the work completed up to your cancellation date. Following the payment of that final invoice, your engagement is fully terminated, and no further Services will be performed or billed.
05Client Responsibilities
You agree to:
- Provide accurate, complete, and timely financial records, documents, and information reasonably necessary for us to perform the Services.
- Maintain the accuracy of your business and billing information.
- Grant us the access reasonably necessary to perform the Services (for example, read access to bank or card feeds or accounting software), where applicable.
- Review financial statements and deliverables we provide and notify us promptly of any discrepancies.
- Comply with applicable laws relating to your business's financial recordkeeping.
We are not responsible for errors, omissions, or delays resulting from inaccurate, incomplete, or untimely information or access you provide.
06Our Responsibilities
We will perform the Services described in your plan using reasonable care and skill consistent with generally accepted bookkeeping practices.
07Deliverables & Timing
We prepare your monthly reports after the month-end close, once we have received all the records and access we need for that month. Timelines depend on you providing complete information on time. Any response or turnaround time stated in your plan is a target, not a guarantee.
08Software, Access & Security
You keep ownership of your accounting software account and are responsible for its subscription fees. We work inside your account with the access you give us and use read-only access wherever possible. Please do not send passwords by email or text. We will give you a secure way to share access. Tell us promptly if you change access or suspect unauthorized activity on any account connected to our work.
09Fees, Late Payment & Refunds
Fees are due as described in the billing section above. If an invoice is not paid by the due date shown on it, a one-time late fee of 10% of the unpaid amount will be added to the invoice, to the extent permitted by law. We may also suspend Services for non-payment until the balance is paid. All fees paid are generally non-refundable unless otherwise required by applicable law or stated in your specific onboarding materials.
10Confidentiality
Each party agrees to keep the other party's confidential and proprietary information (including Client financial information) confidential, and to use it only as necessary to perform under this Agreement, except as required by law or with the disclosing party's consent. This obligation survives termination of this Agreement. We perform the Services remotely from outside the United States and may use business-grade software, including AI features, that is contractually restricted from training on Client information.
11Data & Financial Information
Our collection, use, and protection of your information is also described in our Privacy Notice. By using the Services, you acknowledge our Privacy Notice.
12Records, Handover & Retention
When the Agreement ends, we will remove our access to your accounts and, on request, give you your reports and working files in a common format. You remain responsible for keeping your own copy of your records. We may keep copies of our working files for up to 7 years as described in our Privacy Notice, and they stay confidential.
13Intellectual Property
We retain all rights in our methodologies, templates, software, and other materials used to provide the Services. You retain all rights in your own business and financial data; we do not claim ownership of your financial records.
14Professional Standards & Tax Disclaimer
We are a bookkeeping firm. We are not a CPA firm and do not give tax, legal or audit opinions. We are not responsible for penalties, interest or other costs that result from late, incomplete or inaccurate information from you or from tax filings prepared by others. Please review important decisions and tax matters with your CPA, tax preparer or attorney.
15Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS". EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED. OUR SERVICES DO NOT CONSTITUTE TAX, LEGAL, OR INVESTMENT ADVICE, AND YOU SHOULD CONSULT A QUALIFIED PROFESSIONAL FOR SUCH ADVICE.
16Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROFIT PATH SOLUTION'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
Some states do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
17Indemnification
You agree to indemnify and hold Profit Path Solution harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your breach of this Agreement, your violation of applicable law, or inaccurate information you provide to us.
18Independent Contractor Relationship
Profit Path Solution provides the Services as an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between the parties.
19Term & Termination
This Agreement begins on the Effective Date and continues until terminated as described in the Ongoing Service & Cancellation section or this section.
- Either party may terminate this Agreement for material breach not cured within 15 days of written notice.
- We may suspend or terminate the Services immediately for non-payment, or if we reasonably believe continuing to provide the Services would violate the law or expose us to liability.
- Upon termination, you remain responsible for fees incurred through the effective date of termination.
20Governing Law & Dispute Resolution
This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Delaware, or through binding arbitration if mutually agreed upon by both parties.
21Force Majeure
Neither party is liable for delay or failure to perform due to causes beyond its reasonable control, including natural disasters, acts of government, internet or utility outages, or other force majeure events.
22Notices & Electronic Communication
We may send notices, invoices and documents to the email address you give us, and you agree that electronic delivery and electronic signatures or acceptance are valid. Notices to us go to contact@profitpathsolution.com.
23Amendments
We may update this Agreement from time to time. We will provide notice of material changes (for example, by email or by posting an updated version), and continued use of the Services after the update's effective date constitutes acceptance.
24Entire Agreement; Severability
This Agreement, together with the checkout payment terms, your completed onboarding materials, and our Privacy Notice, constitutes the entire agreement between the parties regarding the Services and supersedes prior agreements on the subject. If any provision is found unenforceable, the remaining provisions remain in full effect.
